The Agreement

EVENT PHOTOGRAPHY AGREEMENT

This Agreement is made between:

Lucky Norii Team ("Client")
and
Madison Lee Clark ("Photographer")

1. Event Details

• Event Name: Mandi Bunga: A Bloom Ritual

• Date: 13 June 2026 (Saturday)

• Event Time: 10:00 AM – 4:30 PM

• Location: TS Room, The Retreat, New Forest, A35, Christchurch BH23 7EF

2. Schedule & Access

• Supplier Ingress: 9:30 AM

• Photography Coverage: 10:00 AM – 4:30 PM

• Pack Down: Until 5:00 PM

Photographer is expected to arrive during supplier ingress for setup and preparation.

• Event flow includes a 30–60 minute tea service in the morning, during which lighter coverage may be required.

3. Scope of Work

The Photographer agrees to:

• Capture the event in a professional manner, including key moments, atmosphere, details, and candid interactions.

• Deliver:

  • All raw, high-definition, high-quality images

  • A selection of 5–10 edited teaser photos within 24 hours after the event

  • Full delivery of all photos within 3–5 days after the event

4. Usage Rights

The Client (Lucky Norii Team) retains full, unrestricted, and perpetual rights to use all delivered images for:

• Event documentation

• Branding and marketing

• Retreat promotions

• Social media

• Future advertisements

• Website

Photographer grants the Client a royalty-free, worldwide, irrevocable licence to use, reproduce, edit, and distribute the images.

Photographer may use images for portfolio and self-promotion purposes unless otherwise agreed in writing.

5. Breaks & Hospitality

• Photographer will be provided:

  • One (1) hour lunch break

  • Light lunch (provided by Client)

6. Payment Terms

• Total Fee: £75.00 GBP

• Payment method: Direct Deposit

• Payment due: 50% on event day upon Photographer’s arrival and 50% direct deposit after all deliverables have been sent over via google drive e-mail link.

Optional Bonus:

• An additional GBP tip may be awarded at the discretion of Lucky Norii Management and Editing Team if delivery and quality are deemed outstanding.

7. Cancellation & Non-Performance

• If the Photographer cancels within 7 days of the event, the Photographer must make reasonable efforts to find a suitable replacement as agreed with by the Client or refund any payments made.

• Failure to attend or deliver agreed services without valid reason will be considered a breach of contract, and the Client reserves the right to seek compensation for any losses incurred.

• If the Client cancels, reasonable notice will be provided. Any work already completed must be compensated proportionately.

8. Delivery & Quality Standards

• All images must meet a professional standard suitable for commercial and promotional use.

• If the Photographer fails to deliver images within the agreed timeframe without prior agreement, the Client reserves the right to:

  • Request partial refund

  • Withhold any discretionary bonus

• In cases of material breach (e.g. non-delivery), the Client may request a full refund.

9. Liability & Indemnity

• Photographer agrees to perform services with reasonable skill and care in accordance with the Supply of Goods and Services Act 1982.

• Photographer shall be liable for any direct losses resulting from negligence, breach of contract, or failure to deliver agreed services.

• Photographer agrees to indemnify the Client against claims arising from:

  • Unauthorised use of third-party content

  • Breach of intellectual property rights

10. Data Protection & Confidentiality

• Photographer agrees not to misuse, share, or distribute any sensitive or private information relating to the Client or attendees.

• Any personal data captured must be handled in accordance with applicable UK data protection laws (including UK GDPR principles where applicable).

11. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control (e.g. extreme weather, illness, government restrictions). Both parties agree to communicate and attempt reasonable rescheduling where possible.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Entire Agreement

This Agreement constitutes the entire agreement between both parties and supersedes any prior discussions or agreements. Any amendments must be made in writing and signed by both parties.
